Tri-Gig — Terms of Service

1. Acceptance of Terms
By creating an account, clicking Accept, or otherwise using the Tri-Gig platform you enter into a binding agreement with Tri-Gig LLC, an Alabama limited-liability company (“Tri-Gig,” “we,” “us,” “our”). If you do not agree, do not use the Service.
2. Key Definitions
- Client — a business or individual who posts or funds a Project.
- Provider — a freelancer who performs work on a Project.
- Closer — a sales professional who sources or manages Projects for Clients.
- Lead / Support — project-level roles assigned to Providers.
- Service — the websites, apps, APIs, and related services we provide.
- Project — a defined scope of work posted on the platform.
3. Eligibility
You must be at least 18 years old, a resident of the United States, and legally able to enter contracts.
4. Account Registration & Security
You agree to supply accurate information, keep your credentials confidential, and promptly notify us of any unauthorized use.
5. Subscription Plans & Role Limits
Subscription tiers (TG Basic, TG Core, TG Pro) and their fees are published at trigig.com/pricing and incorporated by reference. A standard Project team consists of 1 Closer, 1 Lead, and up to 3 Supports. No Provider or Closer may work on more than two active Projects at the same time, and a Provider may not act as Lead on more than one Project concurrently.
6. Platform Fees
Clients pay a platform fee based on the total funded budget:
- 20 % on budgets up to $5,000
- 15 % on the portion above $5,000 and up to $20,000
- 10 % on any portion above $20,000
Fees are calculated as apart the final budget (ex. budget of $10k - 15% fee will be paid from the $10k budget).
7. Funding & Escrow
A Project is Funded when the Client deposits the full budget into our Stripe-powered escrow or places Tri-Gig on payroll for the full amount. Funds are released in equal installments at two-week sprint intervals for approved, unless otherwise agreed in writing. Clients must Fund a Project within 48 hours of posting. Failure to do so for three consecutive Projects results in downgrade to TG Basic and loss of team-Project access until the Client successfully funds five TG Basic Projects.
8. Provider Performance & Revetting
8.1 Incidents. An Incident occurs when a Provider (i) misses a deliverable deadline, (ii) receives below-threshold feedback, or (iii) is the subject of a verified complaint from a Client or Closer.
8.2 Strike System. Two Incidents trigger mandatory revetting; the Provider is suspended from new Projects until the process is passed. A further Incident after revetting entitles Tri-Gig to ban the Provider.
8.3 Revetting Process. Revetting may include updated skills testing, portfolio review, interview, identity or background verification, and any other steps we deem necessary to ensure quality.
9. Client Funding Strikes
If a Client fails to Fund three consecutive Projects, Tri-Gig may suspend or terminate the account or restrict the Client to TG Basic until remedial funding requirements are met.
10. Payments, Payouts & Taxes
Payout percentages by role are displayed on each Project card. Providers and Closers authorize Tri-Gig to collect amounts, deduct platform fees, and disburse net payouts. You are solely responsible for all applicable taxes.
11. Ownership & Intellectual Property
Ownership of work product transfers to the Client upon (a) Client marking the Project accepted and (b) full payment clearing. Until then, Providers retain all rights. Clients may request Project-specific NDAs; Providers, Closers, and Leads must sign all applicable NDAs.
12. License to Use the Service
Tri-Gig grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose.
13. Prohibited Conduct
You may not: violate laws; infringe intellectual property; misrepresent identity; post unlawful or harmful content; circumvent fees; disrupt or compromise security; or engage in any activity that Tri-Gig deems detrimental to the community.
14. Suspension, Termination & Appeals
Tri-Gig may suspend or terminate your account for breach of these Terms or platform policies. Suspended users may appeal within 14 days by emailing support@trigig.com. If we terminate your subscription without cause, unused fees are prorated and refunded.
15. Dispute Resolution & Arbitration
Except for small-claims matters, any dispute arising under these Terms is resolved by binding arbitration administered by JAMS under its Streamlined Rules in Birmingham, Alabama. You and Tri-Gig waive jury trial and class actions. Either party may seek injunctive relief in court to protect intellectual-property or confidential-information rights.
16. Disclaimer of Warranties
The Service is provided “as is” and “as available.”Tri-Gig disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
17. Limitation of Liability
Tri-Gig’s aggregate liability arising out of or relating to the Service will not exceed the greater of $100 or the total fees you paid to us during the 12 months preceding the claim.
18. Indemnification
You will indemnify and hold harmless Tri-Gig and its officers, directors, employees, and agents from any claim arising out of your use of the Service or breach of these Terms.
19. Modifications to Terms
We may modify these Terms by posting an updated version with a new Last updated date. Continued use after the effective date constitutes acceptance.
20. Governing Law
These Terms are governed by the laws of the State of Alabama, excluding conflict-of-law principles.
21. Privacy
Your use of the Service is also governed by our Privacy Policy.
22. Entire Agreement
These Terms constitute the entire agreement between you and Tri-Gig regarding the Service and supersede all prior agreements or understandings.
